1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the QCTools website, applications, and services (collectively, the "Service") provided by Jade Technology Solutions LLC ("we," "us," or "our"). By creating an account, subscribing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
QCTools provides software tools for construction quality-control workflows, including MAC FDOT Helper (a browser extension for Florida Department of Transportation MAC data entry), Density Verify (a Windows application to check nuclear-gauge readings for consistency), and related tools. The Service is provided on a subscription basis.
3. Accounts
You must create an account to use most features. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate information and promptly update it if it changes. You must be at least 18 years old to use the Service.
4. Subscriptions and Billing
The Service is billed on a recurring monthly basis through our payment processor, Stripe. Each subscription includes a 7-day free trial, during which you will not be charged. If you do not cancel before the trial ends, your payment method will be charged the then-current monthly price, and each month thereafter until you cancel. You can cancel anytime from your account; cancellation stops future charges but does not retroactively refund the current period. Prices may change for new subscriptions; existing subscribers keep the price they signed up at until they cancel.
5. Refunds
You may cancel at any time during your 7-day free trial at no charge. Once a paid billing period begins, payments are non-refundable, and canceling stops future renewals rather than refunding the current period. If you believe you were charged in error, contact us at support@qctools.app and we will review it in good faith.
6. Acceptable Use
You agree not to: (a) share, resell, or sublicense your license or account; (b) attempt to circumvent licensing, activation, or usage limits; (c) reverse engineer, decompile, or tamper with the software except as permitted by law; (d) use the Service to violate any law or regulation; or (e) interfere with or disrupt the Service or its servers. Each license is intended for use on a single machine or by a single user as described at purchase.
7. Disclaimer — Your Responsibility for Use and Data
QCTools provides tools that assist with data entry, calculations, and report generation. YOU ARE SOLELY RESPONSIBLE FOR THE USE OF THE SOFTWARE AND FOR THE ACCURACY, COMPLETENESS, AND COMPLIANCE OF ANY DATA, CALCULATIONS, ENTRIES, OR REPORTS produced with or through the Service. The Service is a tool, not a substitute for professional judgment, verification, or compliance with applicable engineering, testing, contractual, or regulatory requirements, including those of the Florida Department of Transportation or any other authority. You must independently review and verify all outputs before relying on or submitting them. We are not responsible for any decisions made, reports submitted, work accepted or rejected, penalties, or other consequences arising from your use of the Service. The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, Jade Technology Solutions LLC and its owners, members, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business, arising out of or related to your use of (or inability to use) the Service. Our total liability for any claim arising out of these Terms or the Service shall not exceed the amount you paid to us for the Service in the twelve (12) months preceding the claim.
9. Intellectual Property
The Service, including all software, code, designs, and content, is owned by us and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose while your subscription is active. You retain ownership of the data you input; you grant us the limited right to process it solely to provide the Service.
10. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you violate these Terms, fail to pay, or misuse the Service. Upon termination, your right to use the Service ends, and your license will be revoked. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and intellectual property) will survive.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "last updated" date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida.
